"How To Write A Contract" ...

Do you know how to write a contract? Contracts are documents that specify an agreement between two or more parties. In writing these legally-binding items, it is important to keep a few things in mind. They are:

Step #1 - Terms
You need to negotiate the terms of the contract before you put anything down on paper. Make sure you understand what is expected of you, and what you expect of the other party. What are the deliverables, work, price, and payment arrangements. This information is important to ensure that there is no misunderstanding of the relationship you are entering into.

Step #2 - Wording
Try to keep the wording in the contract as simple and straightforward as possible...but make sure that it includes everything that you need. If you are entering into a contract that deals with a lot of technical information, it may be worthwhile to get legal counsel to oversee the drafted contract before it is finalized. A lawyer's detail-oriented eyes may catch something that you didn't think of, or deemed important. Use this advice and modify the contract as needed.

Step #3 - Deliverables
As mentioned above, your contract should include all the deliverables required, and the dates and deadlines for completion. You should also make sure that you hold regular progress meetings to discuss the timelines and quality of the work completed so far. This will ensure that both parties are happy with the results.

Step #4 - Ownership
The contract should outline who owns these deliverables once they are completed. The parties involved may have differing opinion son this, so it's important to clarify this point in the contract. Inetellectual property agreements take this area to a whole new level, so it may be worthwhile to get an attorney's opinion before you put pen to paper.

Step #5 - Termination
Unfortunately things don't always work out as we plan. As a result, you need to determine the terms required for the parties involved to get out of the contract if they need to. Add this info to the contractual agreement.

Step #6 - Signatures
You are done the writing part except for one final item...get the signatures from both parties, along with the date the contract was signed.

Now you know the basic steps of how to write a contract. Remember to get legal advice if you think you are in "over your head" with the technical parts.
